Agreement to terms
These Terms of Service govern access to and use of the Automotive AI platform and related services operated by AAI Technologies Inc. ("Automotive AI", "we", "us"). By using the platform you ("Customer") agree to these terms on behalf of yourself and any dealership you represent. If you do not agree, do not use the platform.

Eligibility
The platform is provided to licensed automotive dealerships and their authorized employees or agents. You confirm you are at least 18, authorized to bind the dealership, and that all information you provide is accurate.

Subscription and billing
- Subscriptions are billed monthly or annually as selected at signup, in CAD unless otherwise stated.
- Fees are non-refundable except where required by law. Pro-rated credits are not issued for partial-month cancellations.
- Stripe processes all payments. We do not store full card numbers.
- Failed payments may result in suspended access after a 7-day grace period.

Acceptable use
You agree not to:
- Use the platform to send unsolicited SMS or violate TCPA, CASL, CAN-SPAM, or applicable telecom rules.
- Misrepresent the AI agent as a human where regulated channels require disclosure.
- Reverse-engineer, resell, or sublicense the platform without written consent.
- Upload malware, attempt unauthorized access, or interfere with platform operation.

Customer data ownership
You retain ownership of all CRM data, lead records, and conversation transcripts you provide or generate through the platform ("Customer Data"). You grant Automotive AI a limited license to process Customer Data solely to deliver the service and improve platform performance.
On termination, Customer Data is available for export for 30 days, after which it is deleted from production systems within 90 days, subject to backup retention.

AI outputs and accuracy
The platform uses large language models and other AI to generate responses, summaries, and recommendations. Outputs may contain errors. Customer is responsible for reviewing AI-generated communications before they are sent to consumers in regulated contexts (financing, compliance disclosures, legally binding offers). Automotive AI is not liable for decisions made solely on AI output.

Compliance responsibilities
- Customer is responsible for obtaining lawful consent before contacting leads via SMS or other channels.
- Customer must honor opt-out requests within statutory windows.
- Customer must disclose AI involvement where required by jurisdiction (e.g., California SB-1001, applicable provincial rules).

Service availability
The platform targets 99.5% monthly uptime excluding scheduled maintenance and force majeure. No SLA credits apply unless agreed in writing in an enterprise contract.

Intellectual property
The platform, including its software, models, prompts, branding, and documentation, is the property of AAI Technologies Inc. and its licensors. No rights are granted except the limited right to use the platform during the subscription term.

Limitation of liability
To the maximum extent permitted by law, Automotive AI is not liable for indirect, incidental, special, or consequential damages, including lost profits or lost data. Aggregate liability is limited to fees paid in the 12 months preceding the claim.

Termination
Either party may terminate the subscription at the end of the current billing cycle with written notice. Automotive AI may suspend or terminate access immediately for material breach, non-payment, or unlawful use.
On termination, your right to use the platform ends. Sections governing data, IP, liability, and dispute resolution survive.

Changes to terms
We may update these terms as the service evolves. Material changes are notified by email or in-app at least 14 days in advance. Continued use after the effective date constitutes acceptance.

Governing law
These terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. Disputes are subject to the exclusive jurisdiction of the courts of Calgary, Alberta.
